Terms of Service
The agreement between your organisation and KaryaGati Software.

The short version
- Your data is yours. We do not sell it or use it to build features for anyone else.
- Prices are in rupees, billed in advance, plus 18% GST.
- Miss a payment and you get a grace period — we never delete data over a late invoice.
- Leave whenever you like. You get 30 days to export everything.
- Break the rules badly and we can close the account, but we write to you first.

Who this is between
KaryaGati Software and the organisation that signs up for KaryaGati ERP. It starts the first time anyone from your organisation creates a workspace, signs in, or pays us.
Whoever accepts confirms they can bind the organisation they name. The organisation is the customer, not the person clicking.
What you get
A hosted workspace, for as long as your plan is paid and active. Which modules you can use depends on your plan, add-ons and grants — visible inside the product at any time.
We may change or retire features. If a change removes something you rely on, you get 30 days’ notice by email first.
Your account
- You decide who gets access and what they can do.
- You are responsible for what happens under your users’ accounts. Tell security@karyagati.in if one is compromised.
- One login per real person. Shared accounts break the audit trail and are not allowed on per-user plans.
Your data stays yours
Tasks, tickets, files, people, messages — all of it is your property. We process it to run the service, keep it secure, and support you when you ask.
We do not sell it, rent it, or use one customer’s content to build features for another. Details in the Privacy Policy.
Paying
Prices are in Indian Rupees, exclusive of GST (18%, SAC 998314), shown separately on every invoice. Payments run through Razorpay — we never see your card number.

If a payment fails
We tell you and retry. Your workspace enters a grace period rather than stopping. If that passes, paid modules are suspended — but your data is untouched, and you keep access to your own settings and user list.
Trials, demos and free grants
- Trial — full access for a fixed period, no card needed.
- Demo — a sandbox with sample data, deleted when it expires. Outbound messaging is switched off so nothing reaches a real person.
- Free grant— access we chose to give you. We can end one with 30 days’ notice, never retroactively.
Rules
The Acceptable Use Policy is part of these terms. In short: nothing illegal, no messaging people who did not agree to hear from you, no attacking the service, no reselling without a written agreement.
You are responsible for having permission to message the people whose numbers you load in, and for honouring their opt-outs.
Ending it

We can suspend an account that materially breaks these terms if it is not fixed within 14 days of us writing to you — or immediately where use is unlawful or harms other customers.
Either way you get 30 days to export. After that we delete from live systems within 30 days and from backups within 90, except tax invoices, which the law makes us keep for 8 years.
Uptime
We aim for 99.5% monthly uptime, excluding announced maintenance — which gets 48 hours’ notice and happens outside Indian business hours where possible.
That is a target we hold ourselves to, not a financial guarantee, unless a signed agreement with you says otherwise.
Liability
The service is provided as it is. To the extent the law allows, we are not liable for indirect loss, lost profits or lost business.
Where we are liable, the cap is what you paid us in the previous twelve months. Nothing here limits liability for fraud, for death or personal injury caused by negligence, or anything else that cannot lawfully be limited.
Changes and disputes
Changes are posted here with a new date. If one materially reduces your rights, we email your workspace owner 30 days ahead — and if you would rather leave, we refund the unused part of the period.
Governed by the laws of India, under the jurisdiction of the courts at Gurugram, Haryana. Before court, please write to legal@karyagati.in — most things are faster to fix that way.
